Under the engagement the firm undertook following assignments: conduct of legal due diligence, banking and tax advising, preparation of Georgian law legal opinion, preparation of report on shareholder structure. Further, the firm was retained to advise on procedures and structure of the equity transaction, on share purchase agreement, labor agreements for top management and supervisory board members, communication with regulatory body, revision of the bank’s charter, tax advising on share transfer, creation of lien on funds, revision of loan agreements, monitoring conditions precedent and more.
